Circle City Multi-Sport Club By-Laws

Name
The name of the club shall be known as Circle City Multi-Sport Club (CCMC), heretofore referred to as ‘The
Club”.
Purpose
The club shall provide training and social opportunities for persons having an interest in triathlon or duathlon of any skill level. The club shall facilitate the communication of ideas and knowledge pertaining to triathlon and duathlon which may include and is not limited to: newsletters, website, email, meetings. The club will also help to promote the sports of triathlon and duathlon by supporting and partnering with races and organizations in the Indianapolis IN metropolitan area with related interests.
Membership
Membership is open to anyone that pays the membership dues and fills out and signs the approved application and waiver. There shall be no discrimination on membership based on locality, sex, sexual orientation, religion, ethnicity, or ability. Any member can vote in general elections.
Board
The board shall consist of four elected positions as follows:
- President
- Vice President
- Secretary/Treasurer
- Membership Director
Other board positions may be created as deemed necessary by the President or Vice President, but these will be appointed and not elected positions. The board will meet periodically, not to be less than every six months. All board members receive free membership to the club.
General Board Member Conduct
The board members shall not use their position to exclusively promote any other organization. The board members must give equal coverage to all related organizations (coaching, retail, etc) and may not give preferential treatment of one over another. The board cannot agree to exclusive rights of one organization to the club (such as all coaching for the club will be done by “XYZ coaching”. The board may (and is encouraged to) inform the membership of clinic and services provided by other related organizations as long as no preferential treatment is given. Any board member that acts in a way deemed unethical or is not in the best interests of the club can be considered in violation of good conduct. Violation of conduct is grounds for removal as outlined below.
President
The President shall preside over all board meetings and is the organizational point for The Club. The President is responsible for all activities that fall outside of the duties of the other board members, such as any new activities or programs.
Vice President
The Vice President will coordinate and run the general member meetings. The Vice President will also serve as liaison to organizations outside of The Club, such as other clubs, aquatic center, local government or other organizations in which the club has a vested interest. In the absence of the President, the Vice President shall serve in the place of the President.
Secretary/Treasurer
The Secretary/Treasurer shall record the proceedings of the board meetings and any other meetings where it is deemed necessary. The Secretary/Treasurer is also responsible for all the financial activity of the club. This may include: bookkeeping, deposits, taxes, check and financial reports. Checks drawn from The Clubs accounts will require the Secretary/Treasure’s signature and one other officer.
Membership Director
The Membership Director is responsible for all membership processing. This includes: Adding members to the training partner database, including members in email lists, issuing official member cards, keeping track of member expirations, creating membership welcome packets, informing members of general club activities( how to get started in the club), periodically sending an updated member roster to USA Triathlon and answering general member questions.
Elections
Elections shall be held once per year. The President and Vice President may
serve no more than two consecutive terms. The other officers (Secretary/Treasure, Membership Director) may repeat as many terms as desired. The elections shall be held with the option of conducting them at a general member meeting where the entire club membership has been informed of said elections at least 30 days in advance, or via the clubs web site. Or a combination of both a live meeting and web vote. Any current club member in good standing may vote. A member in good standing is defined as having paid the current year membership dues. Members must be in attendance of the meeting when the elections are being held to be eligible to vote or registered on the clubs web site if being done via that medium. Majority vote wins, no exceptions. Elections for officers shall be by secret ballot in either of the options described above. Any current member may run for office by simply announcing his/her candidacy to the current board, or by being nominated at any time up to 5 days prior to the elections. Any candidate running for office does not have to be present at the election meeting to receive votes. In the case of a tie, all current board members receive a second vote to break the tie. In the event that no member runs for one of the listed officer positions. The elected President will appoint a member to fill that position.
Resignation
A board member may resign, but must give 60 days notice if at all possible to allow for an interim replacement to be found. If the resigning board member has less than 90 days in his/her term at the date of resignation then the vacant position may be filled by appointment by the President. Otherwise general elections must be held for the vacant position as outlined in “Elections”.
Removal
If any board member acts in a way to violate the interests of the club, a special board meeting may be called by at least two other elected board members. Any accusations will be presented at the special board meeting and the accused board member may provide a defense. A special jury of five randomly selected club members, currently no serving on the board, will act as the jury at the special meeting. A majority vote by the five selected members will rule, no exceptions.
Website
At a minimum, the website will provide the following information to all members: Board positions, names and contact information of board members, current club activities, and upcoming elections. The website will be distributed no less than once per calendar quarter to all members.
Survey
Once per year the board will distribute a survey to the club membership asking for suggestions on improvement for the club. The board will in good faith attempt to implement reasonable suggestions.
General Membership Meetings
The Club shall provide general meetings of interest to club members where information relevant to the sports of triathlon and duathlon shall be presented to the club members. These meetings will occur no less than four times per calendar year. One of the meetings may be the general election meeting.
Safety
Safety will always be a priority at club events. Bike Helmets must be worn at all rides and all traffic laws must be obeyed. Reasonable care will be taken when choosing bike routes to minimize traffic and to stay within the handling skills of the riders. When swimming, someone with lifesaving and CPR certification should be present. Swimming will only be performed in designated or approved swim areas.
Changes to the By-Laws
Changes to the By-Lays can only be accomplished with a two-thirds majority vote by the club membership in attendance at any general meeting. This can be done by a show of hands or by secret ballot.
